Terms of Purchase

Introduction

These Terms of Purchase (the “Terms”) are by and between Matt Correia (the “Composer”) and the purchasing ensemble (the “Orchestra”). They will take effect upon the Orchestra’s payment of the purchase fee (the “Payment”), originating from the Purchase Pricing Guide (Appendix A).

The Terms grant and govern the Orchestra’s use of the Composer’s work, including the score and instrumental parts (collectively, the “Materials”), for which the Orchestra issues Payment.


Purchased Materials

 1a. 

The Materials will be shipped to the Orchestra after Payment is issued to the Composer. The Composer will pay the cost of shipping to the Orchestra.

 1b. 

Photocopies of the instrumental parts may be created if additional copies are required. The Orchestra must not arrange, transcribe, adapt, modify, sell, loan, sublicense, or give away the Materials, the contents of the Materials, or its copies of the instrumental parts for any reason.

 1c. 

All sales of the Materials are final. The Orchestra may not be entitled to any refund or exchange. The Composer will make all reasonable efforts to correct any problems, such as the shipment of damaged or incorrect Materials, as quickly as possible and at no expense to the Orchestra.


Public Performance

2a. 

The right of nondramatic public performance is granted to the Orchestra in perpetuity, and only for the purchased Materials listed on the Orchestra’s invoice. This right is contingent upon a license from whichever performance rights organization(s) represent the work.

2b. 

Public performance of the Materials with any political or religious affiliations, including branding or messaging related to political parties, religious organizations or lobbying institutions, requires the Composer’s express written permission.

2c. 

The Composer reserves the right to prohibit any performance of the Materials that are deemed political, religious, derogatory, controversial, damaging to reputation, or for any other reason, at the Composer’s sole discretion.


Additional Licensing

3a. 

The Composer has obtained any required licensing rights for the work’s arrangement and for the Materials’ sale to the Orchestra. The Composer may not hold the copyright or any other licensing rights of the work or the Materials.

3b. 

The Terms do not grant the Orchestra any rights beyond the Materials’ public performance, including grand, mechanical, or synchronization rights. These and any other supplemental uses require the Composer’s express written permission, the permission from any copyright owners and licensors (collectively, “Third Parties”), and may incur additional fees.

3c. 

It is the Orchestra’s responsibility to obtain the necessary permission from Third Parties, and to pay any additional fees required by them. The Orchestra agrees to forever indemnify and hold harmless the Composer for any third-party claims and all incurred costs, damages, or losses that arise from the Orchestra’s use of the Materials.


Terms Infringement

4a. 

The Orchestra’s breach of the Terms will justify their immediate termination with no opportunity for remedy. Upon such termination, all rights of the Orchestra are immediately revoked, including the right of public performance, regardless of prior approval.

4b. 

Neither party will be held liable for a delay or failure of obligation as required by the Terms resulting from an event of force majeure, such as unforeseeable, unpreventable, or emergency circumstances, including failures of technology providers and courier services.


Final Provisions

5a. 

The individual submitting Payment on behalf of the Orchestra, and consequently entering into this agreement, warrants that they are authorized to act on behalf of the Orchestra in this matter.

5b. 

The Terms are governed by and subject to the laws of the State of Florida. For the purpose of any claim or dispute brought in relation to the Terms, both parties consent to legally-binding arbitration, administered virtually, under the American Arbitration Association’s rules.

5c. 

If any part of the Terms are found void or unenforceable, it will not affect the validity of the rest of the agreement, which will remain valid and enforceable according to its terms.

5d. 

These Terms are the entire agreement between the Composer and the Orchestra. Any and all supplements, modifications, or sub-agreements to the Terms must be made in writing.

5e. 

The Composer reserves the right to change these Terms in any way, at any time, and without prior notice to the Orchestra. It is the Orchestra’s responsibility to check for any changes to the Terms that may affect its use of the Materials.

5f.

Appendix A

Purchase Pricing Guide

a1. 

Contingent upon the Orchestra’s agreement to the Terms, the following works are available. The Orchestra may use the titles, as listed below, in all programming and publicity materials. Proper nomenclature, including punctuation and capitalization, must always be followed.

a2. 

The instrumentation listed below each title includes every part written for that work, and any optional instruments will be labeled as such in the Conductor’s Score. No significant changes to the instrumentation should be made without the Composer’s express written permission.

a3. 

All prices below and on the Orchestra’s invoice are listed in USD. If multiple works are purchased at one time, the Composer may provide a custom discounted rate.
