Rental Agreement

Introduction

This agreement (the “Contract”) is by and between Matt Correia (the “Composer”) and the renting ensemble (the “Orchestra”). It will take effect upon the Orchestra’s payment of an agreed-upon fee (the “Payment”), originating from the Rental Pricing Guide (Appendix A).

The Contract grants and governs the Orchestra’s use of the Composer’s work, including the rental of instrumental parts (the “Materials”), for which the Orchestra issues Payment.


Rental Period

 1a. 

The Materials and one (1) conductor’s score will be shipped to the Orchestra after Payment is issued to the Composer. The Composer will pay the cost of one-way shipping to the Orchestra.

 1b. 

The Rental Period begins on the date the Materials arrive to the Orchestra and ends fourteen (14) days after the final performance for which Payment was issued (the “Deadline”). The Composer must receive the Materials on or before the Deadline. If additional time is needed to return the Materials, the Orchestra must notify the Composer in writing before the Deadline.

 1c. 

An additional charge equal to ten percent (10%) of one performance’s rental fee, based on the fees in Appendix A, will be due for each week or prorated portion of a week that the Materials have not been received after the Deadline.


Rental Materials

2a. 

The Orchestra is responsible for the Materials, which remain the property of the Composer, during the Rental Period and until they arrive back to the Composer.

2b. 

Photocopies of the Materials may be created if additional copies are required. At the end of the Rental Period, all physical and digital copies must be permanently destroyed or deleted.

2c. 

The Orchestra must not arrange, transcribe, adapt, modify, sell, loan, sublicense, or give away the Materials, the contents of the Materials, or its copies of the Materials for any reason.

2d. 

After the final performance for which Payment was issued, the Materials must be well-packaged and returned to the Composer in the condition they were received. All markings on the parts must be erased before returning the Materials.

2e. 

Any markings, folds, tears, defacements or other damages, including missing parts or pages, that are discovered upon their return may incur an additional charge equal to twenty-five dollars ($25) per missing or damaged part.

2f. 

The Orchestra will pay the cost of one-way shipping to the Composer. The use of a trackable shipping service is required for the return of the Materials. The Orchestra must provide the Composer with its tracking number.


Public Performance

3a. 

The right of nondramatic public performance is granted to the Orchestra only for the dates, quantity, and Materials listed on the Orchestra’s invoice. This right is contingent upon a license from Broadcast Music, Inc. or the equivalent licensing organization in the Orchestra’s territory. The Orchestra’s right includes the use of online, non-interactive, audio and video live-streaming.

3b. 

The Orchestra must notify the Composer in writing before any changes are made to the dates or number of performances listed on the Orchestra’s invoice. Any additional performances that were not listed on the original invoice may then be charged, based on the fees in the Rental Pricing Guide.

3c. 

For any infringing performance of the Materials, including those that are added without prior notice to the Composer, the Orchestra agrees to issue a retroactive payment, based on the fees in Appendix A, with an additional surcharge of one-hundred percent (100%).


Additional Licensing

4a. 

The Contract does not grant the Orchestra any rights beyond the Materials’ public performance, including grand, mechanical, or synchronization rights. These and any other supplemental uses require the Composer’s express written permission and may incur additional fees.

4b. 

The Orchestra may create audio and video recordings of its rehearsals and performances for internal archiving or review purposes only. These recordings must not be publicly shared, distributed, or sold in any form without the Composer’s express written permission.


Contract Infringement

5a. 

The Orchestra’s breach of this Contract will justify its immediate termination with no opportunity for remedy. Upon such termination, all rights of the Orchestra are immediately revoked, and within fourteen (14) days the Orchestra must return the Materials and destroy its copies.

5b. 

Neither party will be held liable for a delay or failure of obligation as required by the Contract resulting from an event of force majeure, such as unforeseeable, unpreventable, or emergency circumstances, including failures of technology providers and courier services.


Final Provisions

6a. 

The individual submitting Payment on behalf of the Orchestra, and consequently entering into this Contract, warrants that they are authorized to act on behalf of the Orchestra in this matter.

6b. 

The Contract is governed by and subject to the laws of the State of Florida. For the purpose of any claim or dispute brought in relation to the Contract, both parties consent to legally-binding arbitration, administered virtually, under the American Arbitration Association’s rules.

6c. 

If any part of the Contract is found void or unenforceable, it will not affect the validity of the rest of the Contract, which will remain valid and enforceable according to its terms.

6d. 

This Contract is the entire agreement between the Composer and the Orchestra. Any and all supplements, modifications, or sub-agreements to the Contract must be made in writing.

6e. 

The Composer reserves the right to change this Contract in any way, at any time, and without prior notice to the Orchestra. Changes to the Contract will not affect the Orchestra’s ongoing Rental Period. The version of the Contract that was published at the time of Payment will apply. It is the Orchestra’s responsibility to save a copy of the Contract at that time.

6f. 

The most current version of the Contract will always be available at mattcorreia.com/rental.


Appendix A

Rental Pricing Guide

a1. 

Contingent upon both parties’ agreement to the Contract, the following works are available. The Orchestra may use the titles, as listed below, in all programming and publicity materials. Proper nomenclature, including punctuation and capitalization, must always be followed.

a2. 

The instrumentation listed below each title includes every part written for that work, and any optional instruments will be labeled as such in the Conductor’s Score. No significant changes to the instrumentation should be made without the Composer’s express written permission.

a3. 

All prices below and on the Orchestra’s invoice are listed in USD. If multiple works are used in the same Rental Period, the Composer may provide a custom discounted rate.
